These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Equiti Ventures LLC ("Company", "we", "us", "our") governing your use of the Calorique mobile application ("App") and related services. By downloading, installing, or using Calorique, you agree to be bound by these Terms. If you do not agree, do not use the App.
You must be at least 13 years of age to use Calorique. If you are between 13 and 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We do not knowingly collect personal information from children under 13.
You may need to create an account to access certain features. You agree to provide accurate, current, and complete information and to keep your credentials secure. You are solely responsible for all activity under your account. Notify us immediately at support@caloriqueapp.com if you suspect unauthorized access.

Calorique is a nutrition tracking and wellness tool for informational and educational purposes only. It is NOT a medical device, and does NOT provide medical advice, diagnosis, or treatment.
The nutritional information, AI-generated meal suggestions, coaching guidance, and health-related content provided through Calorique (including through the AI nutrition coach "Zoey") are for general informational purposes only and should not be relied upon as a substitute for professional medical advice.

The AI nutrition coach and meal planning features use algorithms and general nutritional guidelines. They do not have access to your complete medical history and cannot account for all individual health circumstances. Any mention of health conditions in the App is for personalization purposes only and does not constitute clinical assessment.
We strive to provide accurate nutrition information for the dishes in our database. However:
You acknowledge that nutrition tracking is inherently imprecise and agree to use the data provided as a general reference rather than an exact measurement.
When you create or join a Family Kitchen:

The Calorique App — including its design, code, features, content, food database, algorithms, AI models, branding, and documentation — is the exclusive property of Equiti Ventures LLC and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved.
You retain ownership of content you create in the App (meal logs, photos, notes). By using the App, you grant us a limited, non-exclusive, royalty-free license to process, store, and transmit this content solely to provide and improve the service. We may use anonymized, aggregated data (that cannot identify you) for analytics and product improvement.
Your use of Calorique is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to the collection and use of information as described in the Privacy Policy.
Calorique integrates with third-party services including Apple Health, Health Connect, and cloud infrastructure providers. We are not responsible for the availability, accuracy, or practices of third-party services. Your use of such services is subject to their respective terms and privacy policies.
We strive to keep Calorique available and functional, but we do not guarantee uninterrupted, error-free, or secure access. We reserve the right to modify, suspend, or discontinue any part of the App at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.
CALORIQUE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT.
We do not warrant that: (a) the App will meet your requirements; (b) the App will be uninterrupted, timely, secure, or error-free; (c) the nutritional data, AI suggestions, or coaching provided will be accurate, reliable, or complete; or (d) any errors will be corrected.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EQUITI VENTURES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:
OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY US DOLLARS ($50), WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless Equiti Ventures LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) any dietary or health decisions made based on information from the App.
We may suspend or terminate your access to the App at any time, with or without cause, with or without notice. Upon termination, your right to use the App ceases immediately. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.
Before filing any formal legal action, you agree to first contact us at support@caloriqueapp.com and attempt to resolve the dispute informally for at least 30 days.
Any dispute that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in the State of Delaware. You and the Company agree to waive any right to a jury trial or to participate in a class action.
YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Equiti Ventures LLC regarding the use of Calorique and supersede all prior agreements and understandings.
We reserve the right to update these Terms at any time. We will notify you of material changes through the App or via email. Your continued use of the App after such changes constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the App.
